The Firm represents clients ranging from star-up companies in the earliest stages of development to fully functional and operational concerns, including Web sites, content providers, Internet service providers (ISPs), infrastructure and network providers, Web site and application developers, and hosting and application management companies. This broad spectrum of clients allows us to view the industry from varied perspectives and enables us to enlighten and expose our clients regarding the strategic interests of other parties in negotiations.
Since few start-up companies have all of the resources necessary to compete effectively on the Internet, many have entered into strategic alliances with entities that offer different or complementary capabilities. Our attorneys have negotiated and prepared numerous alliance agreements, including overall strategic relationships, cross-linking agreements, content provider agreements and advertising service agreements.
The Firm offers counsel to clients regarding the establishment and implementation of policies with respect to employees’ use of the Internet, intranets and e-mail. We also prepare employee agreements to ensure that our clients retain all appropriate intellectual property rights.

We advise clients on the scope of privacy laws and regulations and assist them in defining and implementing appropriate privacy and data use policies.

When clients outsource these functions, we negotiate agreements to ensure that they receive the services they expect and retain the ownership rights they require. When clients are developing these capabilities in-house, we create intellectual property interests that are enforceable and secure any necessary third-party licenses for content or technology.
