Corporate Finance/Securities

The Firm serves as counsel to issuers and underwriters in private placements and public offerings of equity and debt securities under the Securities Act of 1933. We also advise clients on their compliance with the proxy rules and other periodic reporting requirements of the Securities Exchange Act of 1934. Our attorneys have substantial experience in corporate finance transactions of all types, including public offerings (initial and secondary) venture capital transactions (private placements) and the representation of lenders in asset-based loans, commercial transactions and equipment financing, including debt restructurings and the sale and acquisition of assets.

Mergers & Acquisitions

Attorneys in the Firm act as special counsel to corporations, controlling stockholders and employee groups in acquisition transactions, including strategic acquisitins and divestitures, mergers of public companies, private negotiated sales and alliances. Transactions typically involve a wide variety of industries and range in size.

Transactional Practice

The Firm regularly advised clients in connection with contractural matters, including partnerships, strategic alliances, joint ventures, executive compensation agreements, stock option plans and other business matters.


A significant component of our corporate practice involves representing entrepreneurs and entrepreneurial companies in the capital formation process. With significant experience in venture capital, our attorneys play an important role in consulting cutting-edge start-ups as we encourage and assist in their exploration and investigation of financing alternatives and strategic corporate relationships. The Firm provides legal services for investments in private companies at all stages of development, from seed capital through initial public offering, and in a variety of industries including software, consumer products, information processing, telecommunications, healthcare, software, Internet and new media. We provide counsel as to the structure and terms of financings, stockholders agreements, registration rights agreements and agreements with founders, and the Firm is often asked to remain as strategic advisor to these concerns.
